Relay Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Relay platform, including our mobile and web applications (the "Service"), operated by Relay Ops, Inc. ("Relay," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms.
1. Use of the Service
Relay provides a field service management platform for businesses and their authorized users. You may use the Service only for lawful business purposes and in accordance with these Terms.
You are responsible for all activity that occurs under your account and for ensuring that users within your organization comply with these Terms.
2. Accounts
Access to the Service requires an account. You agree to provide accurate information and to keep your account credentials secure.
You are responsible for maintaining the confidentiality of your login credentials and for all actions taken through your account.
3. Customer Data
You retain ownership of data you submit to the Service. You grant Relay a limited right to use that data solely to provide, operate, and improve the Service.
4. Acceptable Use
You agree not to:
- Use the Service in violation of applicable laws or regulations
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
5. Service Availability
The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue parts of the Service at any time.
6. Payments and Stripe Connect
This section applies to any use of payment processing features within the Service.
Payment Processing
Relay uses third-party payment processors, including Stripe, Inc. and its affiliates ("Stripe"), to process payments made through the Service.
Relay does not store or process payment card numbers or bank account credentials directly. Payment information is collected and processed by Stripe in accordance with Stripe's terms and privacy policies.
By using payment features in the Service, you agree to be bound by Stripe's applicable terms, including the Stripe Connected Account Agreement and related policies.
Stripe Connect Accounts
To accept payments through the Service, you may be required to create and maintain a Stripe account connected to Relay ("Connected Account").
You authorize Relay to:
- Create and manage a Connected Account on your behalf
- Share information about you and your business with Stripe as required to provide payment services
- Act as an intermediary to facilitate payments, refunds, fees, and related transactions
You are responsible for:
- Providing accurate and complete information required by Stripe
- Maintaining compliance with Stripe's requirements
- Keeping your Connected Account in good standing
Relay is not responsible for Stripe's decisions regarding account approval, suspension, delays, reserves, or termination.
Fees
Stripe may charge transaction fees, processing fees, or other fees in connection with payment processing. Relay may also charge platform or service fees, as disclosed within the Service or agreed separately.
All fees are subject to change in accordance with Stripe's terms or Relay's pricing.
Payouts
Payout timing, availability of funds, reserves, and settlement schedules are determined by Stripe and are subject to Stripe's policies.
Relay does not guarantee payout timing or availability of funds.
Refunds, Disputes, and Chargebacks
You are solely responsible for:
- Issuing refunds
- Responding to disputes or chargebacks
- Any losses resulting from chargebacks, fraud, or reversed transactions
Stripe may debit your Connected Account for refunds, chargebacks, fees, or penalties in accordance with its terms.
Relay is not responsible for dispute outcomes or losses resulting from payment activity.
Taxes
You are responsible for determining, collecting, reporting, and remitting any applicable taxes related to payments processed through the Service.
Relay does not provide tax advice or assume responsibility for your tax obligations.
Compliance and Prohibited Use
You agree not to use the payment features of the Service for:
- Illegal or fraudulent activity
- Activities prohibited by Stripe's Acceptable Use Policy
- Transactions that violate applicable laws or regulations
Relay may suspend or disable payment features if required by Stripe, law, or to protect the integrity of the Service.
Termination of Payment Services
Relay may suspend or terminate access to payment features if required by Stripe, if your Connected Account is suspended or terminated, or if you violate these Terms or applicable laws.
Termination of payment features does not relieve you of outstanding payment obligations or liabilities.
Payment Liability Limits
Relay is not responsible for payment processing errors caused by Stripe or third parties, delays, failures, or interruptions in payment processing, or losses arising from chargebacks, fraud, or disputes. To the fullest extent permitted by law, Relay's liability related to payment services is limited as described in these Terms.
7. SMS Communications
By providing a mobile phone number to a business using Relay, end users consent to receive transactional SMS messages related to their service appointments, including confirmations, schedule updates, technician arrival notifications, invoice notifications, and payment confirmations.
Message frequency varies. Message and data rates may apply. End users may opt out at any time by replying STOP to any message. For help, reply HELP.
SMS messages sent through Relay are transactional in nature and do not include marketing content.
8. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Relay will not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Service.
10. Termination
We may suspend or terminate access to the Service if these Terms are violated. You may stop using the Service at any time.
11. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
